GENERAL BOOKING TERMS & CONDITIONS MISS MAGIC MERLOT

These General Booking Terms & Conditions apply to all bookings and assignments involving Miss Magic Merlot, unless otherwise agreed in writing.

These terms are governed by Dutch law, including where the Client is established outside the Netherlands or the event takes place abroad, insofar as permitted by applicable law.

In the event of any discrepancy or difference in interpretation between the Dutch and English versions, the Dutch version shall prevail, insofar as permitted by applicable law.

1. BOOKING & CONFIRMATION

  • A booking is considered confirmed once the essential arrangements, including date, time, location, scope of the booking and agreed fee, have been confirmed in writing.
  • The content and duration of the booking will be agreed with the Client in advance.
  • Any changes to the programme, location, schedule, duration or agreed services after confirmation must be discussed and agreed upon.
  • If such changes result in additional preparation, attendance, services or costs, an additional fee may apply.

2. RIDER, TECHNICAL & VENUE REQUIREMENTS

  • The practical, technical and hospitality requirements stated in Magic Merlot’s current rider form part of the booking arrangements.
  • The Client is responsible for ensuring that all agreed facilities and technical requirements are available, functional and accessible in good time.
  • If any requirement cannot be provided, the Client must inform Magic Merlot in advance. Where possible, a suitable alternative will be agreed upon.
  • If essential agreed facilities are unavailable and the booking therefore cannot reasonably be performed, or cannot be performed in full, the agreed fee remains payable where the circumstances are attributable to the Client.

3. FEE, PAYROLL SERVICES, TAXES & PAYMENT

  • The agreed fee and any additional costs will be confirmed in writing in advance.
  • Invoicing on behalf of Magic Merlot may be handled by an external payroll or administrative service provider. An invoice or payment request issued by this service provider will be considered valid fulfilment of the agreed payment arrangements.
  • All required invoicing and payment information must be provided to Miss Magic Merlot before the booking takes place.
  • Invoices are payable within 14 calendar days, unless otherwise agreed in writing in advance.
  • If the Client operates with a different payment term, purchase order number, supplier registration or other administrative procedure, this must be communicated before the booking is confirmed.
  • For larger bookings, custom assignments or projects requiring substantial advance costs or preparation, a deposit may be agreed.
  • In the event of late payment, statutory commercial interest and extrajudicial collection costs may be charged in accordance with the applicable legal provisions.
  • Fees are exclusive of applicable taxes and VAT unless explicitly stated otherwise.
  • VAT and other applicable taxes will be determined according to the nature and location of the services and the applicable tax regulations. For international bookings, this may include specific VAT treatment or reverse-charge arrangements where applicable.
  • The Client is responsible for providing correct company, VAT and invoicing details where required.

4. CANCELLATION BY THE CLIENT

A confirmed booking means that the agreed date and time have been reserved specifically for the Client.

The following cancellation fees apply:

  • More than 30 days before the booking: no cancellation fee
  • 30 to 15 days before the booking: 50% of the agreed fee
  • 14 to 8 days before the booking: 75% of the agreed fee
  • 7 days or less before the booking: 100% of the agreed fee

Any non-refundable costs already incurred specifically for the assignment may be charged in addition to the cancellation fee.

If circumstances change, the parties are encouraged to first discuss whether rescheduling or another solution is possible. Any final cancellation must be confirmed in writing by email.

5. CANCELLATION OR INABILITY TO PERFORM BY Miss MAGIC MERLOT

  • If Miss Magic Merlot is unable to perform due to illness, accident or another serious circumstance, the Client will be informed as soon as reasonably possible.
  • Where possible, Miss Magic Merlot will assist in exploring rescheduling, an alternative solution or a suitable replacement performer.
  • Any amounts already paid for services that will not be performed will be refunded.
  • Miss Magic Merlot shall not be liable for consequential losses resulting from an inability to perform under such circumstances.

6. FORCE MAJEURE

  • In circumstances beyond the reasonable control of Miss Magic Merlot and/or the Client which make performance of the booking impossible, both parties will consult each other as soon as possible.
  • Where possible, the parties will seek to reschedule the booking or find another suitable solution.
  • Any financial consequences will be considered in light of the circumstances of the particular situation and any costs already incurred.

7. SAFETY & RESPECT

  • Miss Magic Merlot must be able to perform in a safe and respectful working environment.
  • In the event of threats, aggression, discrimination, harassment, unwanted physical contact or other inappropriate or unsafe behaviour, Miss Magic Merlot reserves the right to interrupt or terminate the performance.
  • If the Client or the Client’s guests make the safe performance of the booking reasonably impossible, the agreed fee remains payable.

  • Taking and sharing photographs and videos of Miss Magic Merlot during the event is permitted and appreciated.
  • Where possible, Miss Magic Merlot appreciates being tagged or credited when content is shared on social media.
  • Use of photographs and video for event coverage and promotion relating to the event itself is permitted.
  • Continued or repeated use of such material, paid advertising, commercial campaigns or other use extending beyond promotion of the relevant event must be agreed with Magic Merlot in advance.
  • Separate commercial productions, campaigns or commercial use of Magic Merlot’s image or likeness may be subject to additional agreements and fees.

9. CREATIVE MATERIAL

  • Original texts, scripts, formats, games, concepts and other creative material specifically developed by Miss Magic Merlot remain the property of Magic Merlot unless otherwise agreed in writing.
  • Such material may not be independently reused, transferred or commercially exploited without prior permission.

10. LIABILITY

  • Miss Magic Merlot will perform the agreed services with reasonable professional care.
  • Miss Magic Merlot shall not be liable for loss or damage resulting from circumstances beyond her reasonable control.
  • Any liability shall be limited to the extent permitted under applicable Dutch law.

11. GOVERNING LAW & DISPUTES

  • These General Booking Terms & Conditions and the booking agreement are governed by the laws of the Netherlands, insofar as permitted by applicable mandatory law.
  • This also applies to international bookings unless otherwise expressly agreed in writing.
  • In the event of a disagreement, the Client and Miss Magic Merlot will first make a reasonable effort to resolve the matter amicably.
  • If no resolution can be reached, the dispute may be submitted to the competent court in the Netherlands, subject to any mandatory jurisdiction rules that may apply.
